ARTICLE I
ORGANIZATIONAL TITLE

The name of this organization shall be, for all legal purposes, Historical Artillery Association, Inc. Herein referred to as HAA.


ARTICLE II
UNIT OBJECTIVES

The general purpose of operation is the educational advancement of both the membership and the general public.


ARTICLE III
UNIT POLICY

This organization shall be non-profit, non-sectarian and non-partisan in policy and action, and shall be open to all interested individuals who qualify under the requirements listed for membership.


ARTICLE IV
MEMBERSHIP

There shall be two (2) classes of membership in HAA, Inc.: (1) ACTIVE, and (2) ASSOCIATE. Eligibility for either type of membership shall not be limited at any time to the citizens of the areas served by HAA, Inc.br>





Section 1. ACTIVE members shall consist of those persons, of sound mind and body, eighteen (18) years of age and older, who have paid their annual dues by June 30th of each calendar year, and who are willing to work for the improvement and betterment of the Unit, and the achievement of the goals and objectives of HAA, Inc.

Section 2. ASSOCIATE members shall consist of those persons, of sound mind and body, eighteen (18) years and older, who are nominated by one (1) ACTIVE member of the Unit. The ASSOCIATE member shall not be allowed to vote or hold Unit office, but shall have the privilege (after sufficient training) of serving Unit ordnance and taking an active part in other field situations. ASSOCIATE membership may be held for a twelve (12) month period, after which time the ASSOCIATE member may petition the Unit for ACTIVE status, or retain his status as ASSOCIATE member for another twelve (12) month period. No ASSOCIATE member may apply for a twelve month extension without having acquired a basic uniform as outlined in the Uniform Standards. Likewise, all ASSOCIATE members must agree to abide by all Unit rules and regulations as outlined in the Constitution of HAA, Inc.

Section 3. In order to acquire or remain active in voting status, a member must meet the following criteria:

  1. Be eighteen (18) years of age or older;
  2. Be of sound mind and body
  3. Have served in the field with the Unit for at least one (1) event prior to nomination, or attend one unit activity per year;
  4. Have paid the required Unit dues by the period specified;
  5. Have acquired a basic uniform as outlined in the Uniform Standards
  6. Have read, understood, and accepted the basic precepts and policies as outlined in the Constitution of HAA, Inc.

Section 4. All individuals who now hold (or have formerly held) an ACTIVE class of membership may, should limitations caused by available time, distance traveled, or financial constraints so dictate, elect to downgrade their class of membership to that of ASSOCIATE by notification to the ADJUTANT. The ACTIVE status of said members will continue through the period for which dues have been paid; however, no previously paid dues will be returned to members who resign or downgrade their class of membership.

Section 5. Members who wish to return to ACTIVE status from that of ASSOCIATE status must submit notification to the ADJUTANT, and at the same time payment must be sent to the TREASURER in the amount of dues owed for that portion of the calendar year yet remaining.

ARTICLE V
UNIT MEETINGS

Meetings of the membership of the HAA shall consist of (3) types: (1) Unit event meetings; (2) Special meetings; and (3) Annual meetings. These are to be held at a time and place chosen by the PRESIDENT and approved by the membership at large.

Section 1. Unit event meetings are held on-site at living history events or reenactment-class events attended by the Unit. They are held for the purpose of collecting Event assessments from the ASSOCIATE members present, to update the membership on matters deemed necessary, and to introduce prospective members to the Unit (and appraise same for membership.)

Section 2. Special or business meetings are called by the PRESIDENT or at the request of two (2) ACTIVE members. These meetings are called when matters of a pressing or urgent nature arise (i.e. matters which cannot wait until the next regularly-scheduled Unit event meeting), or which require more time and effort than can be given at Unit event meetings.

Section 3. The Annual meeting shall be held in July for the purpose of discussing events for the Unit calendar, the election of the Unit officers, planning maintenance or upgrading of the Unit's Ordnance of equipment, assessing Unit dues for the coming year, and to consider any other new, special, or pressing business as may arise.

ARTICLE VI
DUES and ASSESSMENTS

In order that the Unit may remain solvent and be able to field properly equipped and trained battery, there is a necessity to levy the following on all active and associate members.


Section 1. ANNUAL DUES shall be determined at the annual meeting for the coming fiscal year. Dues for full-time, ACTIVE members are payable at any time, but at least fifty (50) percent of a member's dues must be paid within six months of the start of the current calendar year, and the full amount must be paid within the first nine months of the current calendar year. After this period, the treasurer shall notify all delinquent members of payment due. The delinquent member shall have thirty (30) days to comply or he shall lose all rights and privileges afforded to his class of membership and shall be dropped from the ACTIVE muster roll.

Section 2. EVENT ASSESSMENTS shall be collected from all ASSOCIATE members attending a reenactment-class event. This fee shall be in the amount of ten (10) dollars for each ASSOCIATE member attending a class-class event, however, no fees shall be assessed for living history events or encampments not accompanying a reenactment. Paid events, such as motion picture filming or solicited demonstrations done at the behest of individuals or organizations shall be regarded as reenactment-class events for the purpose of event assessment. The amount of this fee shall be set at the annual meeting, and used to defray the cost of fuel for transporting the Unit's Ordnance and equipment and other expenses as deemed necessary by the corporate officers.

ARTICLE VII
UNIT OFFICERS

The officers of HAA shall exist in two (2) categories. CATEGORY I officers shall conduct and oversee unit operations of a non-military nature. CATEGORY II officers shall be responsible for all military operation of the Unit.

Section 1. CATEGORY I officers shall consist of the:

  1. PRESIDENT which is elected to a one (1) year term by the ACTIVE membership at the ANNUAL meeting;
  2. ADJUTANT or Secretary which is elected to a one (1) year term by the ACTIVE membership at the ANNUAL meeting;
  3. TREASURER which is elected to a one (1) year term by the ACTIVE membership at the ANNUAL meeting;


Section 2. CATEGORY II officers shall consist of the:

  1. LIEUTENANT (Section or field commander) which is elected to a one (1) year term by the ACTIVE membership at the ANNUAL meeting;
  2. SERGEANT (Chief of the piece) which is elected to a one (1) year term by the ACTIVE membership at the ANNUAL meeting;
  3. FIRST CORPORAL (Gunner) which is elected to a one (1) year term by the ACTIVE membership at the ANNUAL meeting;
  4. SECOND CORPORAL (Orderly & Gunner when required) which is elected to a one (1) year term by the ACTIVE membership at the ANNUAL meeting;

All CATEGORY I & II officers shall be elected from the full-time, ACTIVE membership of the Unit at the ANNUAL meeting and shall have the right to stand for reelection.

CATEGORY I officers may simultaneously hold rank as a CATEGORY II officer, but no member may hold more than one (1) CATEGORY I position and one (1) CATEGORY II position at the same time. Any vacancies caused by expulsion or resignation will be filled by a special election at the next regularly scheduled Unit meeting. such positions to extend through the unexpired term remaining.

ARTICLE VIII
DUTIES of UNIT OFFICERS
(CATEGORY I)

To insure that the best interest of the Unit is upheld and that the HAA adequately meets the needs of its membership and others, the officers of the organization are charged with the following responsibilities:

Section 1. The PRESIDENT shall preside at all Unit meetings. He shall speak for the Unit in all non-military situations and, with the LIEUTENANT, will speak for the Unit in the field. The PRESIDENT may, as the need arises, appoint special committees made up of the Unit members (which may be comprised of both ACTIVE and ASSOCIATE members.) He shall also perform other duties such as ordinarily pertain to this office. These duties are not limited to, but may include:

  1. Choice of time and place for Unit meetings, and notification (through the adjutant) of the membership of same;
  2. Maintenance of all files related to Unit participation at events attended.

Section 2. The ADJUTANT or SECRETARY shall be responsible for all internal communication within the Unit, and all external communication with other units, Federal, State and local groups or organizations (both public and private), print and electronic media, and the public at large. He shall act as Unit Historian and archivist, unless these duties are delegated elsewhere. His primary duties include:

  1. Maintenance of all records of Unit meetings;
  2. Maintenance of all Unit correspondence, both internal and external;
  3. Maintenance of all inventories of Unit property;
  4. Maintenance of all rosters of Unit members in conjunction with the TREASURER;
  5. Maintenance of all Unit archives pertinent to both the original HAA and its reactivated counterpart;
  6. Publication of a schedule of Unit events and notification of the membership regarding new, special, or upcoming events.

Section 3. The TREASURER shall be responsible for the accurate upkeep and reporting of all financial transactions relevant to HAA and maintenance of the Unit treasury. He is responsible for the collection and disbursement of all Unit funds, and his duties also include:

  1. Collection of all Unit dues and event assessments for the membership of the HAA;
  2. Payment of all debts owed or incurred by the membership of the HAA in conjunction with its normal operation as well as special expenditures as required;
  3. Reimbursement of Unit members for good used or services rendered in the course of normal Unit operations, upon the presentation of the correct and appropriate documentation;
  4. Production and presentation of an annual financial report, showing all earned income, donations, gifts, gratuities, dues and all other sources of accrued funds; as well as an accurate accounting of all Unit funds expended during the fiscal year;



  5. Preparation (with any required assistance) of all Unit tax forms, and payment of any owed taxes on Unit income;
  6. Publication of an annual financial report (in conjunction with the adjutant) for distribution to the membership;
  7. Notification (through the adjutant) of all members delinquent in the payment of their annual dues or event assessments.

All of the above-listed records are to be maintained in an orderly fashion, in a manner such that those records are easily accessible to the membership when requested. The ADJUTANT may assign the responsibility for portions of these duties relevant to the history of the reactivated HAA or its historical predecessor to a designated Unit Historian, should this be indicated either through necessity or desire on the part of an ACTIVE Unit member to assume such a position.

ARTICLE IX
DUTIES of UNIT OFFICERS
(CATEGORY II)

The duties of CATEGORY II Unit officers shall correspond to that of the appropriate military counterpart to each office in the original HAA, given the concessions made for unit size, modern transportation, etc. Where possible, a military chain of command will be adhered to in all field situations involving HAA, especially when working in conjunction with other units in scripted or unscripted battle or living history scenarios. Each field officer, whether commissioned or non-commissioned, will be responsible for carrying out any and all orders issued by appropriate military authority, and will also be responsible for assuring that any and all orders delegated to those under his command are carried out promptly and correctly.

Strict obedience and appropriate military courtesy are expected from the officers of HAA. as is likewise true for the enlisted men of the Unit when acting under military orders in a field situation. Discourtesy and insubordinate actions create both an inaccurate portrayal of field artillery of the era, an atmosphere of uncertainty and distrust among Unit members. Unless an issue of member or public safety is in question, any dissatisfaction with issued orders of a military



nature (whether in the form of formal request or command) should be referred to Unit field officers immediately after the event or scenario conclusion for resolution. Grievances, which cannot be resolved in this manner, will be brought to the next Unit meeting for debate. Heated or contentious discussion during an event causes not only dissension in the ranks, but also fosters an incorrect impression in the mind of the public as to the level of military discipline during the 1861 - 1865 period.

Section 1. The LIEUTENANT shall be responsible for taking role of all Unit members present at all Unit events or details. He shall also be responsible for making duty assignments as safety of all members of HAA present for duty at a Unit event. He shall interface effectively with the appropriate command structure present at Unit events, striving to achieve a detached objectivity, level-headedness, and clarity of mind when dealing with the many difficulties inherent to field command. his orders issued to subordinates will show both brevity hardships or exertions on Unit members, and will always refrain from imposing unnecessary hardships or exertions on unit members, as well as exposing members to any dangerous situations. The LIEUTENANT shall have the responsibility of directing the actions of the Unit while in the field, and will act as 'section commander' if two guns are present. He shall:



  1. Become knowledgeable in the drill and overall safe operation of a battery and gun detachment of the 1861 - 1865 era, and use his leadership in the position of 'chief of piece' to direct the operation and handling of the ordnance in an authentic, soldierly manner at the direction of the LIEUTENANT;
  2. Be prepared to assume to duties of the LIEUTENANT in his absence, and act in the role of 'section commander' should two guns be present under unit command;
  3. Attend officer's calls with the LIEUTENANT if necessary, or in his absence;
  4. At the direction of the LIEUTENANT, conduct drill of the gun detachment(s) in the field;


  5. Keep a roster of all ACTIVE members present at each event and the gun duties performed by said members, and keep a standing roster of all ASSOCIATE members attending each event, and the gun duties performed by each;
  6. Point out all deficiencies in Unit authenticity and report same to the LIEUTENANT so that they may be corrected;
  7. Conduct an inspection of all Unit ordnance, limber chest(s), and implements for safety, completeness and correctness, and report any deficiencies to the LIEUTENANT for prompt correction. The SERGEANT will hold the FIRST CORPORAL responsible for all ammunition, friction primers and necessary accouterments to be used at an event;
  8. Point out all deficiencies in conduct of the gun crew in the service of the piece. and work with the CORPORALS to correct same.

Section 4. The SECOND CORPORAL shall have the responsibility of assisting the FIRST CORPORAL and the SERGEANT in directing the Unit while in the field. He shall:

  1. Become knowledgeable in the drill and overall safe operation of a battery and gun detachment of the 1861 - 1865 era, and (should two guns be present, or in the absence of the FIRST CORPORAL) use his leadership in the position of 'gunner' to direct the operation and handling of the ordnance in an authentic, soldierly manner at the direction of the SERGEANT;
  2. Assume command of the gun detachment in the absence of the SERGEANT and the FIRST CORPORAL;
  3. Carry out details dealing with gun drill or camp requirements at the direction of the SERGEANT or FIRST CORPORAL;
  4. Be responsible (with the FIRST CORPORAL) for the manufacture of all ammunition, and the distribution of friction primers and artillery accouterments used at Unit events;
  5. Draw powder rations for the Unit and serve as liaison with other artillery groups and event hosts concerning powder issuance and other event concerns;
  6. Be responsible (with the FIRST CORPORAL) for all Unit implements, tools, and other equipment accompanying the gun detachment(s) in the field;

ARTICLE X
INSTALLATION of OFFICERS

The elected officers of HAA, Inc. shall be installed at the first regular Unit meeting or event succeeding their election, with appropriate ceremonies. In the event of the absence of one or more newly elected officers, their installation will take place at the next Unit meeting or event attended by said officers; however, their duties, privileges and responsibilities will date from the time of the election to their respective office(s).

ARTICLE XI
FISCAL YEAR of the UNIT

The fiscal year for HAA shall begin upon Jan. 1st., and extend through the following Dec. 31st. However, the period used for calculating Unit dues is that of the calendar year, and thus are payable beginning in January 1st. of each year.

ARTICLE XII
UNIT MISSION & PRIMARY IMPRESSION

The expressed intent and purpose of HAA, Inc. is to present for the general public and the general satisfaction of its own members an accurate and authentic portrayal of a field artillery detachment of the period of the American Civil War (1861 - 1865). Through formulated as a reactivated unit representing a battery of the Confederate Army of Tennessee, this portrayal of field artillery of the Civil War era may incorporate either a Confederate or Federal (Union) impression, or both. When portraying an unassigned Federal field artillery unit, the primary impression will be Knapp's Battery, Army of Tennessee, US.

ARTICLE XIII
UNIT PROPERTY & EQUIPMENTS

The cost of much of the equipment necessary for accurate and effective portrayal is such that the purchase by individuals would be both difficult and unnecessary. Therefore, all members of HAA will adhere to the following procedures in regard to the purchase, ownership, maintenance and disposal of such properties.

Section 1. The Unit will assume the responsibilities of acquiring equipment for use in the field. This type of equipment shall include, but is not limited to, friction primers, black powder, artillery accouterments, ordnance (and means of transporting same), camping and cooking gear, artillery implements, entrenching tools, badges of rank, record books and artillery manuals, and other such impedimenta as will be required in portraying a battery of the Civil War era in field situations.



Section 2. Personally owned items that are utilized by the Unit on a regular basis shall remain property of the individual loaning same to the Unit. HAA shall assume full responsibility for care and up-keep of those items while same are on loan to the Unit. The FIRST CORPORAL shall maintain a list of said items in the Unit record book.

Section 3. As equipment used in field situations requires maintenance, work details will be scheduled for the purpose of cleaning, painting, greasing and maintaining equipment that is the property of HAA on an as-needed basis. The PRESIDENT has the responsibility for planning the time and place for scheduled work details, and the ADJUTANT has the responsibility for communicating the schedule for work details to the Unit members at large, once informed by the PRESIDENT.

ARTICLE XIV
UNIT PROCEDURES

Section 1. As a matter of general policy, HAA Unit ordnance will not be committed to active participants at any event unless at least one (1) Unit officer shall be in attendance. Also a minimum of five (5) members (either ACTIVE or ASSOCIATE) must be present in order to properly operate or conduct demonstration with Unit ordnance.

Section 2. When there are only five (5) Unit members present for duty at an event (including the SERGEANT and CORPORAL), the SEARGEANT will assume the duties of the 'gunner', and the CORPORAL will assume a standard position on the gun crew as prescribed by the SERGEANT.

Section 3. The SECOND CORPORAL shall not wear his rank of office (chevrons) on the field unless two (2) Unit guns are present on the field, or unless either SERGEANT or the FIRST CORPORAL is not present for duty.

Section 4. Each full-time, ACTIVE member of HAA must attend a minimum of fifty (50) percent of official Unit functions scheduled for the fiscal year. This is inclusive of reenactment (battle) events, living history encampments and/or demonstrations, work details, and all special ANNUAL meetings. Those members failing to meet this requirement will be reviewed by a board of ACTIVE members and a resolution will be decided on an individual basis.

Section 5. ALL ASSOCIATE members of HAA are encouraged to attend as many events as is practicable; however, some concessions will be made for members living out-of-state, or those residing more than one hundred (100) miles from the Atlanta area. Dispensations may also be given ASSOCIATE members who are active members of other units or organizations should schedule conflicts arise.

Section 6. Any ACTIVE member of HAA who conducts correspondence as part of Unit business or in the performance of Unit duties shall submit copies of all such correspondence to the ADJUTANT for inclusion in the Unit archives. It is recognized by the Constitution (ARTICLE VIII, Section 2, Part B), that the majority of the Unit correspondence will be conducted by the ADJUTANT or by his delegation. All Unit correspondence shall utilize either letterhead stationary or plain writing paper, an must bear the date, signature and rank of the Unit members initiating said correspondence.

Section 7. As per terms of the Constitution (ARTICLE VI, Section 1), ACTIVE Unit members are required to have paid no less than fifty (50) percent of their annual dues by June 30th, and the remaining balance by no later than September 30th. All dues must be paid either by check, currency or money order, unless prior arrangement. No goods or services will be accepted in lieu of dues without approval of Unit officers, as per ARTICLE VI, Section 3 of the Constitution.

Section 8. The guidelines for uniforms to be worn by members of HAA are outlined in the issued Uniform Standards. Strict adherence to these guidelines shall be mandatory for all Unit members, NCOs, and officers.

Section 9. Each prospective Unit member will furnish with the standard information packet prior to his attendance at any unit event, and each member will be responsible for comprehension of, and compliance to, said guidelines.

Section 10. New Unit members (ACTIVE and ASSOCIATE) shall have a maximum of one (1) year from date of enlistment to acquire the basic uniform (as per the Uniform Standards), i.e., jacket, trousers, shirt, shoes, socks, suspenders and cap or hat. Basic accouterments, i.e., haversack, canteen, blanket and/or gum blanket, should also acquired during this period. within the first year, new members may request the use of Unit-owned uniform items (if available) to complete his impression. It must be here noted, however, that Unit-owned uniforms are basically maintained for outfitting of guest or PERSPECTIVE members who may be invited to accompany the Unit for a given event. In such cases, these prospects shall have first call upon Unit-owned uniform equipment.

Section 11. the officers of HAA may, but are not required to, assemble committees from the membership to assist said officers in the performance of their duties. Said committees may include, but are not limited to:

  1. Ammunition committee;
  2. Rations committee;
  3. Newsletter committee;
  4. Transportation committee;
  5. Treasury committee; Ordnance committee; Event committee;

ARTICLE XV
DISCIPLINARY ACTIONS

In the even that any such ACTIVE or ASSOCIATE member shall violate the rules and regulations of HAA to such an extent that the interest of the Unit are considered to be compromised by the breach committed, said member may be expelled by the procedure below.

Section 1. At least, but not limited to fifteen (15) days prior to a regularly scheduled Unit meeting, the ADJUTANT shall send by registered mail to the affected member's last known address a notice of suspension, together with a copy of the specified charge(s).


Section 2. Members thus suspended shall have fifteen (15 days following the receipt of the notice of suspension to reply in writing to the specified charges as levied. This reply will be considered as the official tender response to the charges brought against said member, and will be accordingly discussed (after the specified charges have been read by the PRESIDENT) by the ACTIVE members present at the appointed meeting.

Section 3. A two-thirds (2/3) majority vote of all ACTIVE members present at a regularly scheduled Unit meeting is required for the expulsion of a member (assuming the presence of a quorum). At the conclusion of all discussion of the charges and the response, a vote shall be taken (either by open or sealed ballot, at the discretion of the PRESIDENT). The ADJUTANT will announce to the members present whether the decision is for reinstatement or expulsion; a member, may, however, be reinstated with a warning, if so warranted by special conditions.

Section 4. Upon expulsion, the affected member's name shall be stricken from the muster roll of HAA, Inc, and all Unit equipment in said member's possession will be returned to the ADJUTANT. No member, once expelled, may apply for readmission.

ARTICLE XVI
AMENDMENTS to the CONSTITUTION

The Constitution of HAA, Inc., may be amended at the request of any ACTIVE member by following the procedure below.

Section 1. A written description of the proposed change(s) shall be submitted (in the form of a request) to the ADJUTANT, The author of said request may ask the ADJUTANT to duplicate and distribute copies of the proposed amendment to the membership, or the author may do so himself.

Section 2. The proposed amendment must be submitted to the membership at least thirty (30) days prior to a regularly scheduled Unit meeting. the membership is expected to have read the proposed amendment, and carefully considered the implications thereof prior to the next morning.


Section 3. After the proposed amendment is brought to the attention of the membership by the PRESIDENT, the author of said amendment shall have the option of initiating discussion of the amendment by the membership.

Section 4. At the conclusion of any floor debate on the proposed amendment, the PRESIDENT shall ask for a vote on the proposal by all ACTIVE members present at the meeting. A two-thirds (2/3) majority of all ACTIVE members in attendance (assuming the presence of quorum) is necessary for the passage of any amendment to the Constitution.

Section 5. If the proposed amendment is accepted by the ACTIVE membership, it shall be considered as incorporated into the Constitution of HAA Inc., from that date. The ADJUTANT will make the addition accordingly, and disseminate copies of said amendment to the membership at large as soon as is practicable. If vote taken on the proposed amendment should be negative, the result will be reported to the members by the ADJUTANT in conjunction with normally published notes of the Unit meeting.
